Creator Agreement

1. Rights warranty

For every upload, you represent that you own the asset or have all permissions, licenses, releases, and other rights necessary to upload, market, sell, and license it through SyntaxVault. You may not rely on a SyntaxVault scan as proof of ownership.

2. Listing accuracy

You are responsible for accurate titles, descriptions, compatibility statements, preview media, license selection, and disclosures. Do not misrepresent third-party brands, authorship, functionality, or source.

3. Marketplace license to SyntaxVault

You grant SyntaxVault a non-exclusive license to host, copy, scan, process, display, transmit, and deliver your submitted content as necessary to operate, secure, market, and administer the marketplace and completed purchases.

4. Commission and payment processing

SyntaxVault retains 15% of the listed asset price on a completed sale. Actual payment-processing fees attributable to that sale are deducted from the creator's remaining proceeds. Creator earnings may also be adjusted for refunds, disputes, reversals, taxes, reserves, or legally required withholding.

5. Payout provider

Creators must complete Stripe Connect onboarding and remain eligible to receive transfers. Stripe may impose its own terms, verification requirements, holds, payout timing, and account restrictions.

6. Buyer continuity

After a paid sale, SyntaxVault may preserve buyer access to the purchased asset and license even if you later unpublish the listing. Sold listings may therefore be restricted from permanent deletion where deletion would break legitimate buyer access.

7. Refunds and disputes

Where a transaction is refunded, disputed, reversed, or determined to violate policy, SyntaxVault may reverse or offset associated creator proceeds to the extent supported by the payment system and applicable rules. Payment processing fees are deducted from Creator Earnings. If a transaction is refunded and the payment processor does not return its processing fees, those nonrefundable processing fees may be deducted from the Creator's current or future balance. SyntaxVault may absorb these fees when a refund results from an error or failure attributable to SyntaxVault.

8. Enforcement

SyntaxVault may suspend listings or creator accounts while investigating safety, infringement, fraud, deceptive conduct, or policy violations. Repeated or serious violations may result in termination.

9. Taxes

Creators are responsible for their own tax obligations except to the extent SyntaxVault or a payment provider is legally required to collect, report, withhold, or remit amounts.
