Terms of Service

1. Agreement and eligibility

By creating an account, using SyntaxVault, uploading an asset, or purchasing an asset, you agree to these Terms and the policies incorporated into them. You must be legally capable of entering a binding agreement and must provide accurate account information.

2. Accounts

Public marketplace identity is based on usernames. You are responsible for your credentials and activity under your account. SyntaxVault may suspend or restrict accounts to protect users, investigate abuse, comply with law, or enforce marketplace policies.

3. Marketplace role

SyntaxVault provides marketplace, payment-routing, file-delivery, moderation, and technical-screening services. Unless a listing expressly says otherwise, the creator—not SyntaxVault—is the seller/licensor of the digital asset and is responsible for the listing, asset, and rights necessary to offer it.

4. Purchases and licenses

A purchase grants the buyer the license displayed for that asset at checkout; it does not transfer copyright or ownership of the original asset. The license version recorded with the purchase controls that purchase. Buyers may not redistribute source assets except where the applicable license expressly permits it.

5. Creator economics

For each completed sale, SyntaxVault retains a commission equal to 15% of the listed asset price. Stripe or other payment-processing fees attributable to the transaction are deducted from the creator's remaining proceeds. Creator earnings are therefore the gross sale price minus the SyntaxVault commission and applicable payment-processing fees, subject to refunds, disputes, reversals, taxes, holds, or other adjustments.

6. Payments, refunds, and disputes

Payments are processed by third-party payment providers. Refund eligibility is governed by the Digital Goods Refund Policy. Chargebacks, disputes, refunds, and payment reversals may reduce or reverse creator proceeds where appropriate.

7. Technical screening and IP risk

SyntaxVault may perform automated or manual technical screening and provenance/IP-risk review. A label such as “Technical Scan Passed” means only that the asset passed the checks performed at that time. It is not a certification that the asset is malware-free, secure, original, non-infringing, or owned by the uploader.

8. Prohibited conduct

You must follow the Acceptable Use Policy. Do not upload stolen or infringing material, malware, credential stealers, deceptive content, or material that violates applicable law or another person's rights.

9. Moderation and removal

SyntaxVault may investigate reports, suspend listings, preserve buyer access where appropriate, restrict accounts, and remove content. Copyright complaints may be submitted through the DMCA / Legal Notice process.

10. Service availability

SyntaxVault is provided on an “as available” basis. Features may change, and outages or third-party failures may occur. Backups, delivery controls, and security measures reduce risk but cannot eliminate it.

11. Limitation and responsibility

To the maximum extent permitted by applicable law, SyntaxVault is not responsible for creator representations, buyer misuse, third-party services, or indirect or consequential losses arising from marketplace use. Nothing in these Terms excludes rights or remedies that cannot legally be excluded.

12. Changes

SyntaxVault may update these Terms. Material revisions should receive a new version date. New transactions and acceptances may be governed by the version then presented.
